You are the manager of CBPM Fund I. This is a investment fund that specializes in companies that are in difficulty. The goal of the fund is to finance turnaround situations and then cash out when the companies are profitable.
Prepare a list of questions and responses to evaluate a company for funding. What items would you evaluate to select companies for investment? Also, what responses would you consider acceptable and not acceptable?
Here are some examples.
- Form of organization – Is the company a C corp., S corp., or LLC?
Response – C corp. or LLC is easier to structure financing. S corp. limits shareholders and cannot go public.
- State of Incorporation – Is the company in good legal standing?
Response – Review articles of incorporation. Is the state pro- or anti-business?
