The EU bond markets make a fundamental distinction between the retail and wholesale market, and the listing and prospectus requirements for a given bond issue will depend entirely on the market they are being sold.[1] By section 85 of FMSA 2000, if a company wishes to offer securities to the public or trade on a regulated market, it must first prepare a prospectus, have it authorised by the Financial Conduct Authority, and then publish it. Those bonds which are issued with a nominal or minimum value of less than or equal to £50,000 are treated as being intended for the retail market; those with a nominal or minimum value of at least £50,000 are treated as being intended for the wholesale market. Prospectuses are required for admission to the main London Stock Exchange; where bonds are issued to retail investors and are subject to the general legal requirements contained in the Transparency Obligations Directive
